Terms of Service
1. Acceptance of Terms
By creating an account, subscribing to, or accessing Mindnook ("the Service"), operated by Toradle AI inc. ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
2. Description of the Service
Mindnook provides dedicated Linux compute microVMs running on AWS Firecracker KVM technology, preconfigured for autonomous AI agents, alongside an interactive Obsidian second-brain knowledge graph synchronization interface. Mindnook operates on a Bring-Your-Own-Key (BYOK) model or local model connectivity; we do not charge markups on third-party model inference tokens.
3. Accounts and Security
You must provide accurate and complete registration information when creating an account. You are solely responsible for maintaining the confidentiality of your account credentials, API keys, and session tokens. You must notify us immediately of any unauthorized use of your account.
4. Subscriptions, Billing, and Paddle Merchant of Record
Mindnook offers recurring monthly subscription plans (such as the On-Demand Sandbox at $19/month and the 24/7 Autonomous Box at $39/month).
- Merchant of Record: Paddle.com acts as the merchant of record for transactions. Paddle calculates and remits appropriate sales tax, VAT, and GST in accordance with local regulations.
- Automatic Renewal: Unless canceled prior to the end of your billing cycle, your subscription will automatically renew on a monthly basis using the payment method on file.
- Cancellation: You may cancel your subscription at any time via your account settings or the Paddle customer billing portal. Upon cancellation, your microVM will remain active until the end of your prepaid period.
- Refunds: Refund requests are governed by our Refund Policy, honoring a 14-day money-back guarantee for initial purchases.
5. Acceptable Use Policy
You agree not to misuse the compute resources provided by Mindnook. Prohibited activities include, but are not limited to:
- Cryptocurrency mining or unauthorized distributed computing tasks.
- Port scanning, Denial of Service (DoS/DDoS) attacks, network penetration testing, or sending unsolicited bulk email (spam).
- Hosting, distributing, or executing malicious code, trojans, ransomware, or spyware.
- Engaging in any activity that violates applicable local, national, or international laws or regulations.
- Circumventing or attempting to bypass microVM isolation boundaries, CPU quotas, or hypervisor security controls.
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your microVM instance without prior notice.
6. Data Ownership and Customer Content
You retain all ownership, intellectual property rights, and title to your markdown notes, Obsidian vaults, custom code, agent configurations, and prompt data processed within your microVM. We do not use your private notes or microVM data to train machine learning models.
7. Third-Party Services and Model APIs
Mindnook facilitates integration with third-party Large Language Model providers (e.g., Anthropic, OpenAI, Google Gemini, OpenRouter) and payment processors (Paddle). Your use of third-party API services is governed by their respective terms and privacy policies. Toradle AI inc. is not responsible for outages, rate limits, or content policies imposed by third-party model providers.
8. Service Availability and Backups
While we strive for 99.9% uptime for microVM infrastructure, the Service is provided on an "AS IS" and "AS AVAILABLE" basis. You are encouraged to maintain independent backups of your Obsidian vaults and code using Git or export features.
9. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Toradle AI inc., its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your access to or use of the Service.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in San Francisco County, California.
